TABLE OF CONTENTS
THESE TERMS APPLY WORLDWIDE. BY USING THE SERVICES FROM ANY LOCATION, YOU AGREE TO BE BOUND BY THESE TERMS AND CONSENT TO THE EXCLUSIVE JURISDICTION OF VENTURA COUNTY, CALIFORNIA FOR ANY DISPUTES NOT SUBJECT TO ARBITRATION.
1. Acceptance of Terms
1.1 Agreement to Terms
By checking the acceptance box at checkout or sign-up, creating an account, accessing, or using any part of the Services, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind such entity to these Terms, in which case “you” and “your” shall refer to such entity.
1.2 Additional Agreements
Your use of certain features of the Services may be subject to additional terms and conditions, including but not limited to: our Privacy Policy, community guidelines, the offer terms shown at checkout when you purchase (including the price, what is included, and the length of your access), the terms of any app store through which you download our mobile applications, and any other terms we present to you for a specific feature. Such additional terms are incorporated by reference into these Terms. In the event of a conflict between these Terms and any additional terms, the additional terms shall control with respect to the specific feature or service to which they apply. The offer terms shown at checkout control only as to the price, what is included, and the stated length of access, and they are subject to Sections 2.4, 2.5, 2.7, and 10.3. For Advertising Orders (defined in Section 22.1), Section 22.1(d) decides which terms control. An investment in House Hack, Inc. securities is not governed by these Terms (see Section 2.8).
1.3 Electronic Agreement
You consent to enter into this Agreement electronically and acknowledge that your electronic acceptance has the same legal effect as a physical signature.
1.4 Age Requirement
You must be at least eighteen (18) years of age to use the Services.
1.5 International Users
These Terms apply to all users worldwide. By accessing or using the Services from outside the United States, you acknowledge that you do so voluntarily and are responsible for compliance with local laws. You consent to the transfer of your data to the United States and agree to be bound by these Terms and the jurisdiction provisions herein.
1.6 Consumers in the European Economic Area, United Kingdom, and Switzerland
If you are a consumer living in the European Economic Area, the United Kingdom, or Switzerland, nothing in these Terms takes away rights that the consumer protection law of your country gives you and that cannot be waived by contract. Those rights may include a right to withdraw from an online purchase within fourteen (14) days, remedies for digital content or services that do not conform to the contract, and the right to bring a claim in the courts of your country. Our no-refund policy, the limits on our liability, the choice of California law, and Section 18 (arbitration and class action waiver) apply to you only to the extent that law allows. If you ask us to give you access before a withdrawal period ends, you agree that we may start providing the Services right away. Where the law allows, your right to withdraw may be reduced or lost once access begins.
2. Description of Services
2.1 Platform Overview
On our website, we currently sell the Services as a single bundle called “Reinvest One.” As described on our website and at checkout at the time of purchase, Reinvest One includes the Alpha Membership (including the Alpha Report and trade alerts), the Reinvest Terminal (Reinvest Homes, Reinvest Stocks, and Reinvest Research), our course library, and course member livestreams (also called private livestreams), each as described below, together with any free bonuses we announce. Some of these are marked “coming soon” on our website and are not available yet (see Section 2.7). We also sell advertising and paid promotion to other businesses. That is not part of the Services and is covered by Section 22.
What you receive depends on the plan you purchased (see Sections 2.2 and 2.5). The Services may include, without limitation:
A. Reinvest Terminal: Reinvest Homes, Reinvest Stocks, and Reinvest Research (formerly ReinvestAI)
The Reinvest Terminal is our proprietary software for estimating home and stock valuations. Its stock features are marketed as “Reinvest Stocks” (also called StockAI), its home features are marketed as “Reinvest Homes” (also called HomesAI), and its research summaries are marketed as “Reinvest Research.” References in these Terms to the Reinvest Terminal or the Terminal include all of them, whether they are marketed together or separately. The Terminal consists of proprietary software, algorithms, and model weights, and relies on third-party stock and real estate API data feeds. The Terminal may also include additional insight and analytic tools and experimental features. It is in early beta, and the current version is a pre-release. Estimates can be wrong, sometimes very wrong. The Terminal’s home valuation features cover United States properties only. Coverage within the United States varies by market and depends on our access to listing and other data. Not every state, county, zip code, or listing is available. A major release update of the Reinvest Terminal is planned for the fourth quarter of 2026; that timeline may slip (see Sections 2.3, 2.4, 2.7, and 5). The Services may also include:
AI tools that analyze real estate data and generate property valuations, investment scores, deal scores, comparable sales analysis, after-repair value and renovation budget estimates, estimated upside, bear, base, and bull case valuations, daily deal rankings (such as “Deals of the Day”), market analytics, “net worth boost” or “wedge” estimates, and related outputs;
Analytic and insight tools that analyze stock and market data and generate stock valuations, scores, price scenarios, price targets (including bear, base, and bull targets and targets identified as Kevin’s), estimated upside, options data and unusual options activity, sentiment and “fear” gauges, earnings call analysis, historical pattern and setup statistics, summaries of third-party institutional research, and related outputs;
Research summaries marketed as “Reinvest Research,” which are our short summaries (sometimes called “snippets”) of research and data published by others that we review, together with our own bottom-line opinion;
Visual Deal Spotter and property ranking features (e.g., “More Likely,” “Less Likely,” “Not Likely,” or similar designations, which may change from time to time);
Access to property data (including MLS data where available), public records, and third-party datasets;
Software tools for investment analysis, including ValuationAI, RenovationAI, and other features as they become available;
Educational content related to real estate investing.
B. Alpha Membership (Meet Kevin Membership) / Education + Alpha Content
The Meet Kevin Alpha Report: Daily (when the market is open) market commentary and educational research, which may include pre-trading tips for the day, technical analysis (charts/levels), fundamental analysis (financials/macro), watchlists, “lines to watch,” pre-market notes, trade ideas across short, medium, and long-term time frames, price targets, Kevin’s Bear-Bull Scale, and an archive of past reports.
Trade Alerts: Notices, which we may also call portfolio transparency notices, that report trades and allocation changes made in the Reported Accounts described in Section 5.16 (treasury accounts of House Hack, Inc. and personal accounts of Kevin Paffrath and/or Lauren Paffrath). They are published in the Services after the trade, at no set time, and no later than the next Alpha Report. Push notifications and emails are courtesy copies and may be delayed or may not arrive. Trade alerts are not real-time signals (see Section 5.16).
Educational Content: Courses (including the course library marketed as “All 9 Courses”), lectures, downloadable materials, archives, community features, course member livestreams (also called private livestreams), Q&As, and other educational content offered under the “Meet Kevin“ or “Reinvest” brands. The number, titles, and content of courses may change over time. Livestream schedules are targets and may change (see Section 5.18).
Free Bonuses: Content we have announced as a free bonus with Reinvest One but have not yet released, such as the two 2027 courses described in Section 2.7.
C. Investment Opportunities (Separate)
Investment opportunities in House Hack, Inc. securities, subject to applicable securities laws and separate offering documents, including:
Regulation A Offerings: Public offerings qualified by the SEC, as described in our Offering Circular;
Regulation D Offerings: Private placements available to accredited investors only, as described in our Private Placement Memorandum.
2.2 Cross-Promotion; Bundles; Separate Offerings
We may cross-promote, bundle, or jointly market the Services (for example, Reinvest One, which bundles the Reinvest Terminal and the Alpha Membership). What you purchase is the offering described at checkout at the time of your purchase, with its own Included Features, pricing, and access rules. A purchase of one offering does not include any other offering unless we say so at checkout. Your purchase of any membership, course, or software access is not an investment in House Hack, Inc. and does not grant equity or securities rights.
Earlier Purchases and Other Plans. If you purchased an offering other than Reinvest One (for example, the Alpha Membership, a Meet Kevin course or course bundle, or a standalone Reinvest Terminal subscription), you keep the access and Included Features of the plan you purchased, for the access term of that plan, as described at the time of your purchase. Introducing Reinvest One does not take that away (see Section 2.5). Reinvest One includes features that other plans do not. For example, a purchase of the Alpha Membership alone does not include the Reinvest Terminal, except for any feature that was part of your plan when you purchased it. You do not receive any part of Reinvest One, or anything else, that is not an Included Feature of your plan, whether it exists now or is introduced later. Like all access under these Terms, access under your plan ends if we discontinue the feature or the Services, and no refund is owed (see Sections 2.4, 2.5, and 10.3). Members with an earlier plan (including Alpha Membership and course members) may contact staff@reinvestone.com to ask about an upgrade to Reinvest One, which we may offer at our discretion.
2.3 Beta Services and Early Access
We may offer beta, pilot, early access, or experimental features (“Beta Services”). Beta Services are provided “as is” and may be unstable, incomplete, or contain errors. There will be errors. Beta Services may change or be discontinued at any time without notice, and you use them at your own risk. The Reinvest Terminal, including its home and stock valuation features, stock data, and any APIs, is currently offered as a Beta Service at early access pricing in exchange for your early adoption. The current version of the Reinvest Terminal is a pre-release; a major release update is planned for the fourth quarter of 2026, and that timeline may slip.
2.4 Service Availability; Data Provider Dependency
While we intend to support the Services, you acknowledge that the Services may be modified, suspended, discontinued, or become unavailable due to:
Economic viability considerations;
Technical changes or platform modifications;
Data access limitations, including loss of access to MLS data, stock market data feeds, API providers, or other third-party data sources;
Legal or regulatory requirements;
Licensing disputes or data provider terminations; or
Other reasons beyond our control.
DATA PROVIDER RISK: The Services depend on data from multiple third-party providers, including MLS data providers for real estate and market data providers for stock/financial information. If we lose access to one or more data providers, some or all features of the Services may become unavailable for an indefinite period, potentially permanently. We make no guarantee of continuous access to any data source. You acknowledge and accept this risk as a condition of using the Services.
SHUTDOWN RISK: We may shut down some or all of the Services at any time, for any reason, and without advance notice. For example, Kevin Paffrath may retire, stop making content, or leave YouTube or other platforms, or the Company may decide to stop paying the recurring costs of running the Services. If the Services are shut down, your access ends when they end, including Lifetime Access and any Term License period you have paid for, and it may end immediately. You will not receive a refund, credit, or replacement, no matter how recently you purchased, except where required by law (see Sections 2.5 and 10.3). Do not purchase unless you accept this risk.
2.5 Definitions: Lifetime Access; Included vs. Excluded Features; Plan; Reinvest One; Term License
“Lifetime Access” means a one-time purchase that grants the purchaser access to the Services for as long as the Company makes the Services (or the applicable Service offering/version) commercially available and supported, subject to these Terms (including suspension/termination rights), and limited to Included Features. Lifetime Access does not refer to the lifetime of the user. If the Company discontinues the Services or the applicable offering/version, Lifetime Access terminates when the Services (or that offering/version) are discontinued. That can happen at any time and without notice, and no refund is owed (see Sections 2.4 and 10.3). Lifetime Access covers the Included Features of your plan, and nothing more. You do not receive any feature, product, or bundle that is not an Included Feature of your plan, whether it exists now or is introduced later, whatever it is called and however it is packaged or sold, unless we tell you in writing that we have added it to your plan, in which case it becomes an Included Feature. If we give you access to something outside your plan as a courtesy or a trial with no stated end date, we may end that access at any time. If we offer promotional access for a stated period, it continues for that period, subject to these Terms. When the period ends, the promotional access ends unless the offer said otherwise. Courtesy, trial, and promotional access does not turn into Lifetime Access and does not become a permanent Included Feature. For example, a purchase of the Alpha Membership alone does not include any part of Reinvest One (such as the Reinvest Terminal) that was not part of the plan you purchased. For purposes of Lifetime Access, an offering or version (including your plan) is not discontinued just because we stop selling it to new buyers, rename it, move it to a different app or platform, replace it with a new version, or sell its features inside a new product or bundle. In those cases, your Lifetime Access to the Included Features of your plan continues for as long as we continue to provide those features under any name, version, or bundle, and it does not expand to cover anything else in the new product, version, or bundle. Nothing in this Section 2.5 or in Section 2.2 limits our right to discontinue any feature or all of the Services at any time. Statements on our website, at checkout, in the Apps, or in our marketing that access is “lifetime,” “for life,” “forever,” or similar mean Lifetime Access as defined in this Section 2.5. Lifetime Access is personal to the purchaser and may not be sold, shared, or transferred.
“Included Features” means the consumer-facing features and updates that we make generally available to users of a purchased plan within the Services, as described at the time of purchase and as reasonably updated from time to time. For Reinvest One, the Included Features are the products and features listed for Reinvest One on our website and at checkout at the time of your purchase (for any that are not yet available on your purchase date, when and if we make them available), any free bonus when and if it is released (see Section 2.7), and the updates to them that we make generally available to Reinvest One members. Statements that Reinvest One includes “everything” we offer, or “everything Kevin publishes,” refer to those Included Features and to what we publish within them. They do not include Excluded Features or separately sold products or services that we may introduce later. For example, if we launch a new product or service after your purchase (such as an insurance portal), it is not part of your plan unless we tell you in writing that we have added it. Improvements to a product listed for your plan are updates. A new product is not an update, even if it is offered in the same app or under the Reinvest or Meet Kevin name. If we have added something to a plan at no extra charge in the past, that does not mean we will add anything in the future.
“Excluded Features” means any features, products, or services that are not Included Features, including without limitation: (a) enterprise or team offerings; (b) API access; (c) white-labeling; (d) bulk data exports; (e) custom model training; (f) custom integrations, implementations, or professional services; (g) service-level agreements (SLAs); (h) compliance/audit packages; (i) agent/broker client-facing tools or licensing; or (j) any separately branded or separately priced modules we may offer.
“Enterprise Services” means any Excluded Features offered for business, organizational, brokerage, investor, agent, or licensing use cases, which may be offered separately at an additional cost under separate terms.
“Plan” (or “your plan”) means the specific offering you purchased, as it was described where you purchased it (for example, on our website or at checkout) at the time of your purchase. A later offering is a different plan, even if it has the same name or includes some of the same features.
“Reinvest One” means the bundle of Services sold under that name, consisting of the Included Features described on our website and at checkout at the time you purchase Reinvest One.
“Term License” means a purchase that grants the purchaser access to the Included Features of the purchased plan for the period stated at checkout (for example, 12 or 24 months), starting on the purchase date. A Term License renews automatically at the end of each period, for another period of the same length, until you cancel (see Section 10.2). For each renewal period, your plan and its Included Features stay the same as in the period that is ending, except for any change that the reminder we send before that renewal clearly describes. A Term License is not Lifetime Access.
2.6 Reinvest One Access Terms; Future Pricing Changes
Reinvest One is currently sold for a one-time payment (see Section 10.2). Every purchase of Reinvest One completed on or before December 31, 2026 (Pacific Time) includes Lifetime Access. Unless we state otherwise at checkout, purchases of Reinvest One made after December 31, 2026 are Term Licenses for the period stated at checkout, and they renew automatically until cancelled (see Section 10.2). That change does not affect Lifetime Access purchased on or before December 31, 2026. We may change how we price and package the Services for future purchasers, including by moving features to monthly, quarterly, or annual pricing. Users with Lifetime Access to Included Features will not be charged for features included in their tier at the time of purchase, but anything that is not an Included Feature of their plan, including any new feature, product, or bundle, may be priced separately.
2.7 Free Bonuses, Announced Features, and Launch Dates
We sometimes announce products, features, courses, or content before they are available (each, until we make it available, an “Announced Item”), including anything our website marks “coming soon” and anything described as a bonus, such as the two 2027 courses that our website and checkout call “Agents for Consumers” (or the “2027 Consumer Agentic Blueprint” or “2027 Agents for Consumers Blueprint”) and the “Reinvest Business Blueprint” (or the “2027 Business Agentic Blueprint” or “2027 Business Blueprint”). A bonus announced with a plan is a free inclusion, provided at no additional charge, for purchasers of that plan only. The price you pay is for the products and features available at the time of your purchase, and no part of it is a payment for Announced Items. Announced launch dates are estimates. Announced Items may be delayed, changed, renamed, or never released. That does not change what you purchased and does not entitle you to a refund, credit, or substitute, except where required by law. If a free bonus that was announced as part of the plan you purchased is released, it becomes an Included Feature of that plan and of no other plan.
2.8 Separate Agreements; What These Terms Do Not Cover
These Terms govern your access to and use of our software, memberships, and educational content, and, under Section 22, purchases of advertising and paid promotion from us. They do not govern an investment in House Hack, Inc. securities, a real estate brokerage engagement, a mortgage or lending relationship, a lease, or a property management relationship. Each of those is governed only by its own agreement or offering documents. Nothing in these Terms, including Sections 12, 13, 14, and 18, changes those agreements or waives any right under the securities laws or any other law that cannot be waived.
3. Corporate Structure and Relationships
3.1 Operating Entity
As of November 1, 2025, House Hack, Inc., a Wyoming corporation, is the sole operator and service provider for all Services described herein, including Reinvest One, the Reinvest Terminal (formerly known as the Reinvest AI platform), the Alpha Membership (Meet Kevin Membership), the Alpha Report, and all related courses and content delivered through Teachable or other platforms. House Hack, Inc. collects all revenues from the Services.
House Hack, Inc. is:
A Wyoming C-Corporation;
Files ongoing reports with the SEC under Regulation A;
Audited by a PCAOB-registered public accounting firm;
Licensed as a real estate brokerage with the California Department of Real Estate (“DRE”), DBA HouseHack, under license number 02236137;
Governed by Kevin Paffrath, who holds all voting control.
3.2 Relationship with The Paffrath Organization
The Paffrath Organization, Inc., a California S-Corporation doing business as “Meet Kevin,” is a separate legal entity that is not the operator of the Services.
Kevin Paffrath (“Kevin”), publicly known as “Meet Kevin,” is employed by The Paffrath Organization and promotes the Services (including HouseHack, Reinvest, and the Alpha Report) through YouTube and other media channels. The Paffrath Organization collects advertising revenue from such promotional activities but does not operate, service, or receive revenue from the Services described in these Terms. Separately, House Hack, Inc. sells the advertising and paid promotion placements described in Section 22, which air on the Meet Kevin YouTube channel, and House Hack, Inc. collects the fees for those placements.
Prior to November 1, 2025, The Paffrath Organization operated and received revenue from certain Meet Kevin courses. As of November 1, 2025, The Paffrath Organization transferred all servicing responsibilities and revenue rights for such courses to House Hack, Inc. Any courses you purchased before November 1, 2025 are now serviced by House Hack, Inc.
The Paffrath Organization is also licensed as a real estate brokerage with the California DRE under license number 02032575, though it does not conduct active brokerage operations. Kevin Paffrath is the designated broker for both House Hack, Inc. and The Paffrath Organization.
3.3 Kevin Paffrath Background and Disclaimer
Kevin Paffrath is the CEO of House Hack, Inc. and the public face of the “Meet Kevin“ brand. You acknowledge the following:
Political Activity: Kevin Paffrath ran for Governor of California in 2021 under the name “Meet Kevin.“ His political views and activities are separate from the Services and should not be attributed to House Hack, Inc. or its shareholders.
Real Estate Licenses: Kevin Paffrath is the designated broker for House Hack, Inc. (DRE #02236137) and The Paffrath Organization (DRE #02032575). Only House Hack, Inc. conducts active real estate operations.
Financial Industry Background: Kevin Paffrath has passed various securities examinations, including the Series 7, Series 24, Series 27, Series 63, Series 65, and SIE exams. Kevin may have previously held certain securities-related licenses or registrations (including roles sometimes referred to as a “financial advisor”); however, any such licenses/registrations are not currently active and have been allowed to expire. Regardless of any prior background, Kevin Paffrath is not providing licensed financial advice through the Services, and the Services do not create a client-adviser relationship.
KEVIN PAFFRATH IS NOT CURRENTLY A LICENSED FINANCIAL ADVISOR, BROKER-DEALER, OR REGISTERED REPRESENTATIVE. HE DOES NOT PROVIDE LICENSED FINANCIAL ADVICE. THE SERVICES DO NOT CREATE A CLIENT-ADVISER RELATIONSHIP. ALL CONTENT IS EDUCATIONAL AND INFORMATIONAL ONLY.
3.4 No Agency Relationship
Neither The Paffrath Organization nor Kevin Paffrath individually is your agent or service provider under these Terms. Your contractual relationship for the Services is solely with House Hack, Inc. As between you, the Company, Kevin Paffrath, and The Paffrath Organization, the Company is responsible for the Services and their content (including the Reinvest Terminal, the Alpha Report, and course content); Kevin Paffrath provides distribution and promotion of that content through his social media channels and performs services for the Company.

4.3 Account Security
You must: (a) Use strong, unique passwords; (b) Enable multi-factor authentication when available; (c) Notify us immediately at staff@reinvestone.com of any unauthorized access or security breach; (d) Not share your credentials; and (e) Log out at the end of each session on shared/public devices. 4.4 Organizational Accounts
If you create an account for an organization, you represent you have authority to bind that organization, and the organization is responsible for all users under its account.
4.5 Account Verification
We may verify identity and eligibility at any time, and you agree to cooperate with reasonable requests.
5. AI-Generated Content, Financial Content, and Disclaimers
PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS CRITICAL DISCLAIMERS REGARDING AI OUTPUTS, ALPHA CONTENT, AND YOUR USE OF INFORMATION FROM THE SERVICES.
5.1 Nature of AI Outputs
All valuations, scores, deal scores, price targets, estimated upside figures, after-repair values, bear, base, and bull scenarios, sentiment and “fear” gauges, pattern and setup statistics, options and unusual activity data, analyses, rankings, recommendations, “net worth boost” estimates, renovation estimates, and other outputs generated by our AI systems (including the Reinvest Terminal‘s home and stock valuations) (“AI Outputs”) are: (a) Computational estimates derived from algorithms processing available data; (b) Not appraisals, certifications, inspections, safety assessments, or guarantees; (c) Subject to limitations inherent in data and models; (d) Potentially incomplete, inaccurate, biased, or outdated; (e) Not a substitute for professional advice from licensed appraisers, real estate professionals, financial advisors, attorneys, tax professionals, home inspectors, engineers, contractors, or other qualified experts; and (f) Educational tools only.
AI can make mistakes. You must independently verify any information before acting.
5.2 Net Worth Boost / Wedge Estimates; Costs and Taxes Not Included
Any “net worth boost,” equity, wedge, upside, “Est. Upside,” after-repair value, renovation budget, deal score, ROI, or similar estimate is an approximation that may be wrong and may differ materially from actual outcomes. Unless we expressly state otherwise, such estimates do not include: selling costs (including agent commissions), closing costs, financing costs, holding costs, insurance, property taxes, permits, cost overruns, vacancy, repairs, maintenance, market shifts, or capital gains taxes (or any other tax consequences). You are solely responsible for evaluating costs, tax impacts, and suitability.
5.3 Not an Appraisal
AI OUTPUTS ARE NOT APPRAISALS AND/OR PROFESSIONAL OPINIONS OF MARKET VALUE. Our valuations are algorithmic estimates, not appraisals conducted by licensed appraisers under USPAP or other standards. For financing, legal, tax, or other purposes requiring a formal appraisal, you must obtain one from a licensed appraiser.
5.4 Not a Home Inspection; “Red Flags” (formerly “Death-Trap Protection”) Disclaimer
Our AI cannot physically inspect properties. AI Outputs regarding property condition, renovation needs, red flags, or potential issues are based solely on available data and images and cannot identify defects, hazards, or conditions apparent only through physical inspection. You should always obtain a professional home inspection before purchasing any property.
“Red Flags” Disclaimer: “Red Flags” (previously marketed as “Death-Trap Protection” or similar phrases) is a descriptor for algorithmic identification of potential financial red flags and estimated repair costs only. This feature is still being built and may be incomplete, inaccurate, or unavailable. It is not a life-safety assessment. The Services cannot identify health hazards, structural integrity issues, mold, asbestos, fire risks, lead paint, electrical hazards, seismic risks, or other safety risks. You agree not to rely on the Services for safety inspections or life-safety determinations.
5.5 Not Investment Advice; No Broker-Dealer / RIA Relationship
THE SERVICES DO NOT CONSTITUTE INVESTMENT ADVICE, BROKERAGE SERVICES, OR FINANCIAL PLANNING. We are not acting as your investment adviser, broker-dealer, or fiduciary through the Services. AI Outputs, Alpha Reports, trade alerts, livestream commentary, and educational content are informational tools only and should not be relied upon as the sole basis for any investment decision. You must conduct your own due diligence and consult qualified professionals before decisions. The Alpha Report, trade alerts, and livestreams are education and opinion, not personalized financial, investment, legal, real estate, medical, or tax advice. You are solely responsible for your own decisions.
5.6 Not a Recommendation; No Suitability; No Personalized Advice
Any mentions of specific stocks, options, strategies, allocations, real estate deals, renovations, or “trade ideas,” including statements such as “buy,” “sell,” “hold,” “buy the dip,” “bullish,” or “bearish” and any “bottom line” summary, are general educational commentary and are not personalized recommendations for you. We do not assess suitability, risk tolerance, objectives, tax status, liquidity needs, or financial situation. You are responsible for determining whether any idea is appropriate for you. The same content is published to every member whose plan includes it. Reinvest Terminal stock outputs for a given security are generated from the same data and models for every user and are not tailored to your portfolio, objectives, or financial situation.
5.7 High-Risk Activities; Options and Leverage Warning
Trading, options, and leveraged strategies involve substantial risk and can result in rapid and total loss of capital. Options are complex and not suitable for all investors. You may lose more than your initial investment in certain strategies. Past performance is not indicative of future results.
5.8 AI for Stocks / Reinvest Stocks / “Alpha AI” Limitations
The Reinvest Terminal‘s stock valuation features (including Reinvest Stocks) are automated systems that may hallucinate, omit, or misinterpret data. Outputs may be inaccurate, incomplete, delayed, or inconsistent. We do not guarantee that any automated system will correctly interpret market conditions, news, earnings, or risk factors.
5.9 “Meet Kevin” Branding / Persona Disclaimer
You acknowledge that features currently or previously marketed as “Meet Kevin‘s trained AI,” “Renovate like Kevin,” “Alpha AI,” “Kevin AI,“ or similar branding utilize automated models, tools, and educational content. Outputs are automated and do not constitute personal advice, endorsement, or a direct consultation with Kevin Paffrath individually.
5.10 Recorded Sessions and “Advice Meetings” Disclaimer
If the Services include recordings of prior meetings, Q&As, or “advice sessions,” such content is provided for educational context only, may be anonymized, and is not personalized advice to you. These recordings may be outdated and may not reflect current market conditions, laws, or best practices. Do not rely on them as a substitute for advice from licensed professionals.
5.11 Tax Disclaimers (Including “Tax Write-Off” Statements)
Any statements suggesting that membership, courses, tools, or subscriptions “could be” a tax write-off are general informational statements and are not tax advice or a guarantee of deductibility. Tax treatment depends on your specific facts and applicable law. You should consult your own tax professional.
5.12 Regulatory and Legal Change Risk (Including “Institutional Buyer” Restrictions)
Real estate and financial markets are subject to changes in laws, regulations, executive actions, agency guidance, and enforcement priorities. Such changes may be proposed, adopted, modified, challenged, or reversed, sometimes quickly.
Specific Risk regarding “Institutional” or “Large” Purchasers: You acknowledge that governmental actions and proposals (including those associated with the Trump administration or “Trumponomics“) may attempt to restrict or ban certain “larger” or institutional purchasers from buying single-family homes or rentals.
Undefined Terms: The definition of “larger purchaser” is currently undefined and may be broad.
Fixer-Upper Uncertainty: It is unknown whether such restrictions will exempt “fixer-uppers,” distressed properties, or value-add projects.
Impact on App Utility: If such regulations are enacted and do not exempt the types of properties identified by the Services (e.g., fixer-uppers), or if you fall under a restricted purchaser category, the utility of the Reinvest Terminal and our algorithms for finding and analyzing deals may be significantly reduced or rendered obsolete for your specific use case. We make no guarantees that our software will remain useful under future legal regimes.
You are responsible for monitoring legal changes that may affect your ability to purchase or hold real estate. We are not responsible for refunds or losses due to such regulatory changes.
5.13 Data Limitations
AI Outputs and Alpha Content may rely on data from MLS feeds, public records, market data sources, and other third parties. Data may be incomplete, inaccurate, delayed, or restricted. We do not warrant the accuracy, completeness, or timeliness of any underlying data.
5.14 Your Responsibility
You are solely responsible for: (a) Verifying information obtained through the Services; (b) Conducting independent due diligence; (c) Consulting qualified professionals before decisions; (d) Understanding and accepting risks; and (e) All decisions and actions taken based on the Services.
5.15 Fair Housing; Non-Discrimination; No Steering
The Services and AI Outputs are not designed to, and must not, be used to discriminate, exclude, discourage, or “steer” any person in connection with housing on the basis of any protected characteristic under applicable law.
You agree that you will not use the Services to:
Make or support decisions to deny housing, financing, or services based on protected characteristics;
Suggest neighborhoods, properties, or strategies based on protected characteristics;
Generate or distribute discriminatory content; or
Otherwise violate fair housing, anti-discrimination, or consumer protection laws.
We may implement guardrails, restrictions, or monitoring to reduce discriminatory use. We reserve the right to suspend or terminate accounts that use the Services in a discriminatory manner.
5.16 Trade Alerts; Reported Accounts; Timing; Positions and Conflicts of Interest
We are a publisher of financial commentary and education. The Alpha Report is our regularly scheduled publication, and every member whose plan includes it receives the same report. From time to time that publishing includes reports of trades, which we call trade alerts or portfolio transparency notices. Trade alerts report trades and allocation changes made in accounts we designate for reporting (the “Reported Accounts”). The Reported Accounts are treasury accounts of House Hack, Inc. and personal accounts of Kevin Paffrath and/or Lauren Paffrath. A trade alert may relate to any of them. Trades in any other account are not reported, and routine or automatic activity (such as dividend reinvestments, cash sweeps, transfers, and option assignments or expirations) may not be reported.
Trade alerts are published after the trade, at no set time, and no later than the next Alpha Report. A trade alert is published when it is posted in the Services, including in the Alpha Report. Push notifications and emails are courtesy copies. They depend on third parties (including app stores, device makers, carriers, and email providers) and on your device and notification settings, and they may be delayed or may not arrive. Trade alerts are not real-time signals, are not sent before or at the time of the trade, and are not instructions or recommendations for you to buy, sell, or hold any security. By the time you see a trade alert, market prices will likely have changed, and you may not be able to trade at the price, size, or time reported. The number and frequency of trade alerts vary and are not guaranteed.
Kevin Paffrath, Lauren Paffrath, the Company, and their affiliates, employees, and family members may hold positions in the securities discussed in the Services and may buy or sell them at any time. Because trade alerts are published after the trade, the Reported Accounts will already have traded before you see an alert, and they may trade again, including in the opposite direction, before the next alert is published. Percentages, allocations, and position sizes in trade alerts describe the Reported Accounts only. They are not a suggested allocation for you.
5.17 Price Targets, Scenarios, Pattern Statistics, and Illustrations
Price targets (including targets identified as “Kevin’s Target”), fair value estimates, bear, base, and bull scenarios, the Bear-Bull Scale, estimated upside figures, deal scores, and similar figures are opinions or model estimates as of the date published. They are not predictions, promises, or guarantees, may not be updated, and may be wrong. Statistics about how a security or pattern behaved in the past (for example, how often a “setup” was followed by a price move, or what followed a sentiment or “fear” reading) are based on historical or backtested data, often from a small number of occurrences, and do not predict future results. Third-party research and data shown in the Services come from third parties. Research summaries (including Reinvest Research “snippets”) are our own short summaries of, and opinions about, research and data published by others. They leave things out, may not be updated, and are not a substitute for the original research. A statement that content was “reviewed by Kevin” does not mean that Kevin or the Company has independently verified its accuracy or completeness. Screens, sample alerts, sample deals, addresses, tickers, prices, and figures shown on our website and in our marketing are illustrations of how the Services work and may be hypothetical. They are not a promise of what you will find or achieve, and they are not a record of actual trades, listings, or results unless we expressly say so.
5.18 Livestreams and Q&A
Livestreams and Q&A sessions (including any “direct” Q&A with Kevin) are group educational sessions. Questions are answered, if at all, as general commentary that is shared with all participants. We do not review your accounts, and we do not answer questions about what you should do with your own positions, portfolio, taxes, or transactions. Nothing said in a livestream or Q&A is advice tailored to you, even when it responds to a question you asked. Not every question will be answered. Livestream and Q&A schedules (including statements that sessions take place every day the market is open) describe our general practice and are not guaranteed. Sessions may be shortened, rescheduled, or cancelled.
5.19 No Guarantee of Results
We do not guarantee that you will earn any income, profit, or return, find any particular deal, avoid any loss, or achieve any financial result by using the Services. Course titles and marketing statements that describe a goal or path (for example, building wealth “step by step”) describe the subject matter of the education. They are not promises of results. Results described by us or by others depend on individual effort, capital, decisions, and market conditions, and are not a prediction of your results.
5.20 Real Estate Deals; No Exclusivity; Conflicts of Interest
Listings, rankings, and deal information in the Services are shown to every member with access to the same market. They are not exclusive to you. The Company and its affiliates buy, renovate, hold, manage, and sell real estate, including in markets the Services cover, and may use the same tools and data to evaluate or buy properties, including properties shown to you. Membership does not reserve any property for you, give you priority, or require us to tell you about a property we are evaluating or buying. Other members may pursue the same property. Unless you and the Company sign a separate written brokerage agreement, the Company is not acting as your real estate broker or agent.
5.21 Paid Promotions and Sponsors
Livestreams, videos, emails, and other content from us or on the Meet Kevin channels may include paid promotions for other companies’ products or services, such as sponsored segments and affiliate links or codes. We label them as paid. The advertiser pays for the placement, or pays a commission when you use a link or code. A paid promotion is advertising. It is not investment, financial, legal, tax, insurance, or real estate advice, and it is not a recommendation that the product or service is right for you. We do not test, verify, or guarantee an advertiser’s product, service, or claims. If you buy from or deal with an advertiser, that is between you and the advertiser, and we are not responsible for it. We do not accept orders through our website to promote a stock, any other security, or a crypto token (see Section 22.7). Paying for a promotion gives an advertiser no say over anything else we publish. Section 22 has the terms for businesses that buy placements through our website.
6. User Conduct and Prohibited Uses
6.1 Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with applicable laws.
6.2 Prohibited Activities
You agree not to: (a) Use the Services for any unlawful purpose; (b) Attempt unauthorized access to the Services or accounts; (c) Interfere with or disrupt the Services; (d) Use robots, scrapers, or automated access without written permission; (e) Reverse engineer, decompile, or disassemble the Services; (f) Remove proprietary notices; (g) Transmit malware or conduct cyber attacks; (h) Use the Services for fraud or deception; (i) Resell, sublicense, or redistribute the Services or outputs without authorization; (j) Use the Services to build, train, or operate a competing software, data, or publishing product (buying, selling, or investing in real estate or securities for your own account is not competing with us); (k) Misrepresent identity or affiliation; (l) Harass, abuse, or harm others; (m) Circumvent access controls or usage limits; (n) Send spam or unsolicited communications; (o) Violate third-party rights; (p) Encourage or enable any prohibited conduct; (q) Use the Services or outputs to discriminate, exclude, discourage, or steer any person in connection with housing based on protected characteristics; (r) Use the Services or outputs to create or support segmentation/targeting/decisioning that violates fair housing, anti-discrimination, or consumer protection laws; (s) Submit prompts or content intended to generate discriminatory, harassing, hateful, or unlawful content; (t) Violate applicable data licenses, including MLS restrictions; (u) Share course content, Alpha Reports, trade alerts, livestream links or recordings, your account access, or community or Discord access with non-members; or (v) Make a refund request, chargeback, or payment dispute that you know is false or misleading, including after downloading or using the content.
6.3 Compliance with Data Licenses (MLS and Other Licensed Data)
Your use of MLS data or other licensed data is subject to applicable licenses and restrictions. You agree not to aggregate, compile, redistribute, or use such data for unauthorized purposes or to create competing products.
6.4 Enforcement
We may investigate violations and may suspend or terminate accounts, remove content, and report to authorities where appropriate.
7. Intellectual Property Rights
7.1 Our Intellectual Property
The Services, including software, models, algorithms, content, branding, trademarks (including “HouseHack,” “Reinvest,” “ReinvestAI,” “Reinvest Terminal,“ “Reinvest One,” “Reinvest Stocks,” “Reinvest Homes,” “Reinvest Research,” “Alpha Report,” “Meet Kevin,” “Alpha AI,” and related marks), and other materials (collectively, “Company IP”) are owned by us or our licensors and protected by law.
7.2 Limited License
Subject to your compliance, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes, limited to the plan you purchased and to the access term of that plan.
7.3 Feedback
If you provide feedback, you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use it without compensation.
7.4 User Content; License; AI Training
You retain ownership of content you submit (“User Content”). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, host, reproduce, display, distribute, and create derivative works from such User Content as necessary to provide, maintain, secure, and improve the Services.
Without limiting the foregoing, you also grant us a license to utilize User Content (including property images, uploads, and related metadata) to train, improve, validate, and evaluate our AI models and algorithms, and to develop new features and products, subject to our Privacy Policy and applicable law. Our Privacy Policy describes the information we do not use for training and how to opt out. We may also use aggregated and de-identified versions for analytics, research, and marketing to the extent permitted by law.
You represent you have all rights needed to grant this license.
7.5 DMCA Notice
If you believe copyrighted work has been infringed, send a notice to ir@reinvestone.com with the required DMCA elements.
8. Data, Privacy, and Security
8.1 Privacy Policy
Your use of the Services is subject to our Privacy Policy.
8.2 Data Processing and AI Improvement
We may process your data to provide and improve the Services, including improving our AI models, subject to our Privacy Policy and applicable law.
8.3 Security
We use commercially reasonable security measures, but no system is perfectly secure. You use the Services at your own risk.
8.4 Data Retention
We retain data as necessary to provide the Services and comply with law.
9. Third-Party Services, Data Providers, and Integrations
9.1 Third-Party Services
The Services may integrate with or link to third-party services, APIs, or content. We do not control or endorse third-party services.
9.2 Third-Party Data
The Services may incorporate third-party data, including MLS, public records, and market data feeds. We do not warrant accuracy or completeness.
9.3 Broker-Dealer Services for Securities Offerings (If Applicable)
Investment offerings through the Services may be conducted through a broker-dealer (for example, a FINRA member broker-dealer) as described in the applicable offering documents. Any broker-dealer is not your adviser and does not validate Company statements unless expressly stated.
9.4 Mobile Apps and App Stores
These Terms apply to your use of the Services through our website, our web application, and our mobile applications. If you download a mobile application from the Apple App Store, Google Play, or another app store (an “App Store”), you also agree to that App Store’s terms, including, for the Apple App Store, Apple’s Licensed Application End User License Agreement. These Terms are between you and the Company, not the App Store provider. The App Store provider is not responsible for the Services or their content, has no obligation to provide maintenance or support for them, and is not responsible for any claims relating to them. If you make a purchase through an App Store’s in-app purchase system, the App Store provider bills that purchase, and its billing, cancellation, and refund rules apply to that purchase in addition to these Terms. Push notifications require you to enable notifications on your device.
10. Fees, Payment, and Refund Policy
10.1 Fees
Certain features require payment. Fees are stated in U.S. dollars unless otherwise specified.
10.2 One-Time Purchases; Reinvest One; Term Licenses; Legacy Terminal Subscriptions; Auto-Renewal
If your purchase is described at checkout as a one-time purchase (including Lifetime Access), it does not automatically renew. Reinvest One purchased on or before December 31, 2026 (Pacific Time) is a one-time purchase with Lifetime Access. You pay once, and there is nothing recurring and nothing to renew for the Included Features of that purchase. Term Licenses run for the period stated at checkout and renew automatically until cancelled, as described at the end of this Section 10.2. We no longer sell the Reinvest Terminal as a standalone recurring subscription on our website. If you have an active standalone Terminal subscription that you purchased before it was retired, it renews automatically at the end of each billing period, at the price you agreed to, until you cancel. You may cancel it at any time in your account settings or by emailing staff@reinvestone.com; cancellation takes effect at the end of the billing period you have paid for, and your access continues through the end of that period. No refunds are provided for unused periods. Any other subscriptions or recurring billing we later offer will be presented with applicable terms at checkout and will require your affirmative consent.
Term License Auto-Renewal. A Term License renews automatically. At the end of each period it renews for another period of the same length, and we charge the renewal price to your payment method on file, until you cancel. Before you purchase, we will show you the length of the period, the renewal price, and how to cancel, and we will ask for your express consent to automatic renewal. We will send you a reminder before each renewal that says what the renewal includes and what it costs, and we will tell you in advance if the renewal price is going to change. You may cancel at any time online in your account or by emailing staff@reinvestone.com. If you cancel, your Term License does not renew, and your access continues through the end of the period you have paid for. If we cannot collect the renewal price, your Term License ends when the paid period ends. Payments for a period that has started are not refunded, except where required by law (see Section 10.3).
10.3 No Refunds (Reinvest One; Alpha Membership; Founding / Lifetime, Term License, and Long-Term Plans); Legacy Terminal Subscriptions
ALL PAYMENTS FOR REINVEST ONE, FOR THE MEET KEVIN ALPHA MEMBERSHIP, AND FOR LONG-TERM ACCESS PLANS (INCLUDING PAY-IN-4, QUARTERLY, TERM LICENSE, MULTI-YEAR, OR LIFETIME TIERS) ARE FINAL AND NON-REFUNDABLE, EXCEPT WHERE REQUIRED BY LAW. This policy applies regardless of usage, feature changes, data provider availability, delay or cancellation of Announced Items (see Section 2.7), or discontinuation.
Alpha Membership content (including the Alpha Report, trade alerts, livestreams, and course materials) is delivered immediately upon purchase, which is why Alpha Membership payments are final. The same applies to Reinvest One, which also includes access to the Reinvest Terminal. Access to what is available on your purchase date is delivered immediately upon purchase, and payments for it are final. The Services may be modified, suspended, or discontinued for economic viability or other reasons, and you will not receive a refund if the Services cease. That includes a complete shutdown. If the Services end, your access may end immediately and without notice, and you will not receive a refund, credit, or replacement, no matter how recently you purchased or which plan you hold, except where required by law. To the fullest extent permitted by law, you will have no claim against us because the Services ended. Legacy standalone Reinvest Terminal subscription payments are non-refundable for unused periods; you may cancel at any time under Section 10.2, and your access continues through the end of the period you paid for.
10.4 Price Changes
We may change pricing for future purchases. Existing purchasers keep access as defined by their plan and these Terms.
10.5 Taxes
You are responsible for applicable taxes.
10.6 Billing Authorization
By providing payment information, you authorize us to charge your payment method.
10.7 Disputed Charges
If you dispute a charge, notify us at staff@reinvestone.com within thirty (30) days of the charge. This does not shorten any period the law gives you to dispute a charge with your card issuer or payment provider.
10.8 Promotions, Coupon Codes, and Displayed Prices
Promotional prices and coupon codes are available only for the period and on the conditions stated with the offer, may be changed or withdrawn at any time before you complete your purchase, cannot be combined unless we say so, and do not apply to past purchases. The price shown at checkout when you complete your purchase is the price you pay. Prices may be different for later purchasers, and we do not provide price adjustments or credits if a price changes after your purchase.
10.9 Third-Party Payment and Financing Methods
We accept payment through the third-party payment processors and payment methods shown at checkout, which may include cards, pay-by-bank, digital wallets, and buy-now-pay-later or installment providers (for example, Affirm or Klarna). If you pay with a third-party payment or financing method, your agreement for that method is with the provider and is governed by its terms. Any installment, financing, or loan obligation is between you and the provider, and it continues whether or not you use the Services and whether or not the Services continue. Section 10.3 applies regardless of the payment method you choose.
11. Representations and Warranties
11.1 Your Representations
You represent that you have legal capacity, your information is accurate, and your use complies with law.
11.2 Compliance
You are responsible for ensuring your use of the Services complies with applicable laws, including real estate, securities, consumer protection, and fair housing laws.
12. Disclaimer of Warranties
THE SERVICES, INCLUDING ALL AI OUTPUTS AND CONTENT, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING MERCHANTABILITY, FITNESS, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES OR OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, TIMELY, OR ERROR-FREE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) $1,000. PAYMENTS FOR ANYTHING OTHER THAN THE SERVICES (SUCH AS AN ADVERTISING ORDER UNDER SECTION 22, AN INVESTMENT, A PROPERTY PURCHASE, OR RENT) ARE NOT COUNTED IN (A). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. FOR ADVERTISING ORDERS, THE DOLLAR LIMIT IN SECTION 22.13 APPLIES INSTEAD OF THE DOLLAR LIMIT IN THIS SECTION 13.
YOU ASSUME FULL RESPONSIBILITY FOR ALL REAL ESTATE, INVESTMENT, TRADING, OPTIONS, AND FINANCIAL DECISIONS.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their officers, directors, employees, and agents (including Kevin Paffrath, Lauren Paffrath, and The Paffrath Organization, Inc.) from third-party claims arising from your use, your violations, your content, or your decisions. This Section does not apply to the extent a claim results from our own wrongful conduct.
15. Chargebacks and Disputes
15.1 Chargebacks
If you have a billing dispute or concern, you agree to contact us at staff@reinvestone.com before initiating a chargeback or dispute with your bank or payment provider. Nothing in these Terms limits rights the law gives you to dispute an unauthorized or incorrect charge.
15.2 Consequences
We may suspend or terminate access if a payment is reversed or charged back, or for false or abusive disputes, to the extent permitted by law.
16. Affiliates and Third-Party Promoters
We may use affiliates, promoters, or partners. Unless explicitly stated, their statements are their own and do not modify these Terms. A company that buys advertising or paid promotion from us is an advertiser, not our affiliate or partner, and its statements about its own products are its own (see Sections 5.21 and 22).
17. Term and Termination
17.1 Term
These Terms apply from first use until terminated.
17.2 Termination by You
You may terminate your account, or cancel a Term License renewal or a legacy standalone Reinvest Terminal subscription, at any time. No refunds; cancelled Term Licenses and Terminal subscriptions retain access through the end of the period you paid for.
17.3 Termination by Us
We may suspend or terminate access for violations, nonpayment, security issues, or discontinuation. A discontinuation of the Services may be immediate and without notice (see Section 2.4).
17.4 Survival
Key sections survive termination, including disclaimers, limitation of liability, indemnification, and arbitration. Section 22 survives as stated in Section 22.19(e).
19. Modifications to Terms
We may modify these Terms at any time. If a change is material, we will give you notice by email or by a notice in the Services before the change takes effect, unless the change is needed sooner for legal or security reasons. Changes apply from their effective date forward, and a change to Section 18 does not apply to a dispute that either of us gave the other written notice of before that date. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree to a change, you may stop using the Services, and no refund is owed. Nothing in this Section 19 limits our right to modify, suspend, or discontinue the Services under Sections 2.4, 2.5, and 10.3.
20. General Provisions
20.1 Entire Agreement
These Terms and incorporated documents form the entire agreement.
20.2 Severability
If any provision is unenforceable, the remainder remains in effect.
20.3 Waiver
No waiver is effective unless in writing.
20.4 Assignment
You may not assign these Terms without our consent. We may assign them to an affiliate or wholly owned subsidiary, or in connection with a merger, acquisition, reorganization, or sale of assets. Whoever we assign them to takes over our rights and obligations under these Terms, including Lifetime Access you purchased, and becomes the Company for purposes of these Terms.
20.5 Force Majeure
We are not liable for delays/failures due to events beyond our reasonable control, including data provider outages, API failures, natural disasters, pandemics, government actions, or other force majeure events.
20.6 No Third-Party Beneficiaries
No third party has rights under these Terms except as expressly stated. Kevin Paffrath, Lauren Paffrath, The Paffrath Organization, Inc., and the Company’s affiliates, officers, directors, employees, and agents are intended beneficiaries of Sections 5, 12, 13, 14, and 18. They may enforce those Sections and are bound by Section 18 when they do. The limit in Section 13 is one combined limit for the Company and all of them together, not a separate limit for each. For Advertising Orders, Section 22.19 says who may enforce Section 22.
20.7 Relationship of Parties
No agency, partnership, joint venture, employment, or franchise relationship is created.
20.8 Notices
We may contact you via email, in-app notices, push notifications, text message, or posting on our website or in the Apps.

20.10 Government Users
The Services are “commercial computer software” provided under these Terms.
20.11 Language
English controls in case of conflicts with translations.
20.12 Support and Contact

20.13 Mobile Messaging (Text Alerts) Consent; Opt-Out
If you give us your mobile number, you agree that we may send you text messages about your account and the Services you use, including automated alerts you turn on (such as deal alerts and account messages). We send marketing or promotional text messages only if you separately agree to receive them, and agreeing is never a condition of purchase. Message and data rates may apply. You may opt out at any time by replying STOP or by telling us in any other reasonable way. For help, reply HELP or contact staff@reinvestone.com. Carriers are not liable for delayed or undelivered messages.

21.2 Securities / Offering Disclosures
Any securities offering is made only through the applicable offering documents and only where lawful. Nothing in the Services or Educational Content constitutes an offer to sell or solicitation to buy securities except through the official offering materials. Informational pages on our website, including the Reinvest Library, are general information as of the date written. They are not an offer to sell or a solicitation of an offer to buy any security. If they differ from our offering documents or our filings with the SEC, the offering documents and filings control.
Types of Offerings:
Regulation A: Public offerings qualified by the SEC, open to accredited and non-accredited investors, subject to the investment limits and other conditions described in our Offering Circular. Qualification by the SEC is not approval of the offering.
Regulation D: Private placements available to accredited investors only, as described in our Private Placement Memorandum.
21.3 Risk Disclosure

21.5 Key Person Risk
Certain aspects of the Services, Educational Content, and branding may depend on the continued participation, availability, or reputation of key individuals (including Kevin Paffrath) and key personnel. If a key person becomes unavailable (including due to illness, injury, disability, death, retirement, a decision to stop making content or to leave YouTube or other platforms, or other personal or professional reasons) or reduces involvement, the Services and related content may change, be delayed, or be discontinued. You acknowledge this risk and agree that it does not entitle you to any refund.
21.6 Communications & Retention
Communications; Official records.
We may communicate with you through various channels. For clarity, informal messages (including internal or real-time chat coordination) are not intended to create binding obligations. If there is any conflict between an informal message and a formal written communication or executed agreement, the formal written communication/executed agreement will control. For property management matters, only communications sent to or from our designated property management phone number(s), text line(s), portal, or email addresses are treated as official communications. Messages sent to employees’ personal phone numbers are not an approved business channel and may not be monitored, received, or retained.
No SMS/text messaging for business matters.
Except for property-management related inquiries to (805) 888-2480, do not send confidential or time sensitive business requests via SMS/text message. We do not treat employees’ personal SMS/text messages as an official channel for business matters and do not maintain an archive of employees’ personal SMS/text messages as part of our records.
Consent to Contact (Property Management).
By providing your phone number, you consent to receive property management communications from us via call, voicemail, and text message using our designated property management number(s). Message frequency varies. Standard message/data rates may apply. You may opt out of non-emergency texts at any time by replying STOP.
Retention of communications.
We retain certain communications for limited periods and may delete them in accordance with our records retention practices, except where a legal hold or legal obligation requires longer retention.
22. Advertising and Paid Promotion Terms
READ THIS SECTION CAREFULLY. IT APPLIES IF YOU BUY ADVERTISING, SPONSORSHIP, OR PAID PROMOTION FROM US. IT LIMITS WHAT WE OWE YOU, MAKES ONE MAKE-GOOD YOUR ONLY REMEDY IF YOU ARE UNHAPPY, RELEASES US FROM CLAIMS, CAPS OUR LIABILITY, AND REQUIRES YOU TO DEFEND US AND PAY FOR CLAIMS ARISING FROM YOUR BUSINESS, PRODUCT, OR SERVICE. IF YOU DO NOT AGREE TO ALL OF IT, DO NOT BUY.
Summary of Key Terms
This summary is part of these Terms. The detailed terms below explain each point. If the summary and the details ever differ, the reading that gives the Protected Parties more protection controls.
1. Business only. This is a business purchase. The person who checks the box promises they have authority to bind the business, and is personally responsible if they do not.
2. An offer, not a done deal. Your payment is an offer. We can decline it, or cancel later, for any reason. You cannot cancel.
3. Kevin’s way. No script, no approval, no edits, no takedowns. Kevin says what he thinks, including things you may not like.
4. No results promised. No views, clicks, leads, or sales are promised.
5. Refunds only for Placements that do not air. Every other fee is final.
6. One Make-Good. For anything else, one extra Placement per order is your only remedy, and you must ask for it within 14 days.
7. Release. You give up claims against every Protected Party, including claims based on their negligence.
8. Cap. All Protected Parties together can never owe you more than what you paid for the Placement in question.
9. Indemnity. You defend and pay for any claim tied to you or what you sell, with no cap, even if a Protected Party is blamed.
10. No chargebacks on Placements that aired.
11. Disputes. Individual arbitration before a retired judge in Ventura County, California. No class actions. No jury. One year to file.
12. Stacked protections. Each protection stands by itself. If one is limited, the rest still apply in full.
22.1 Scope and Priority
(a) This Section 22 (the “Advertising Terms”) applies to every purchase of advertising, sponsorship, or paid promotion from us, including any “Advertise on Meet Kevin” package (each, an “Advertising Order”). A sponsorship or campaign that is not bought through a checkout page where the buyer agrees to these Terms, and that is covered by a separate written agreement signed by an officer of House Hack, Inc., is not an Advertising Order, and this Section 22 does not apply to it, unless that agreement says it does. An amendment under Section 22.19(c) changes only what it states.
(b) Who is bound. “Advertiser,” “you,” and “your” mean (i) the business named at checkout, (ii) the business that owns or sells the Promoted Offering, if different, and (iii) any agency, reseller, or representative that places the order. Each of them is bound by these Terms and is responsible, jointly and severally, for every obligation in this Section 22.
(c) The person who clicks. The individual who completes the purchase promises that he or she has full authority to bind every Advertiser. That individual is personally bound as the Advertiser if (i) he or she lacks that authority, (ii) the business named at checkout does not exist or is not a legal entity in good standing, or (iii) he or she is buying as a sole proprietor or in his or her own name.
(d) Priority. The rest of these Terms also applies to Advertising Orders, including Sections 12, 13, 14, 15, 18, and 20. If this Section 22 conflicts with any other part of these Terms, or with any webpage, checkout text, confirmation screen, email, message, call, livestream, or video, this Section 22 controls for Advertising Orders. It also controls over our Advertise page (reinvestone.com/advertise) and its “Terms You’re Agreeing To” list, which is a short description and does not limit or replace this Section 22. If the other term gives the Protected Parties more protection, that protection applies too. Sections 1.6, 10.3, and 18.14 do not apply to Advertising Orders. Refunds for Advertising Orders are governed only by Section 22.9.
(e) Binding from the click. These Terms bind you from the moment you check the box, complete the agreement field, or pay, whichever comes first, whether or not we later accept your Advertising Order.
22.2 Definitions
“Channel” means the Meet Kevin YouTube channel.
“Placement” means one paid promotion segment, in one livestream or one long-form video on the Channel, in which Kevin talks about the Promoted Offering in his own words. A Placement is a pitch of about sixty (60) seconds. Sixty seconds is a target, not a minimum, and a shorter or longer segment still counts.
“Package” means the number of livestream Placements and long-form video Placements shown at checkout for what you bought.
“Promoted Offering” means the business, brand, product, service, offer, price, website, landing page, link, code, and claims you ask us to promote.
“Advertiser Materials” means everything you give us or point us to, including what you type at checkout, names, logos, trademarks, links, landing pages, codes, images, talking points, facts, figures, and claims.
“Protected Parties” means (i) House Hack, Inc., doing business as Reinvest and HouseHack; (ii) The Paffrath Organization, Inc., doing business as Meet Kevin; (iii) Kevin Paffrath and Lauren Paffrath, individually; (iv) each of their parents, subsidiaries, affiliates, successors, and assigns; and (v) each of their respective owners, shareholders, officers, directors, managers, members, employees, contractors, agents, attorneys, and insurers.
“Day 1” means the calendar day, Pacific Time, on which we receive your payment in full. Each later calendar day is the next numbered Day. The “Review Period” is Day 1 through Day 6. The “Air Window” is Day 7 through Day 14.
“Outside Date” means the end of Day 14. For a Package of more than four Placements, the Outside Date for each Placement after the first four is the end of Day 30.
Your Advertising Order is “Closed” on the first day when every Placement in your Package has aired, been refunded, or been cancelled.
22.3 Business Purchase Only; Authority
You represent and warrant that: (a) you are buying for a business purpose and not for personal, family, or household use; (b) you are at least 18 years old; (c) each Advertiser is a real legal entity in good standing, or you are a sole proprietor buying in your own name; (d) you have full authority to bind every Advertiser to these Terms; and (e) if you are an agency, reseller, or representative buying for a client, your client has authorized you in writing to accept these Terms for it, and you and your client are each fully responsible, jointly and severally, for every obligation in this Section 22. Before we accept, we may ask for proof of any of this, a personal guarantee, or proof of insurance, and we may decline if we do not get it.
22.4 Your Order Is an Offer; We Can Say No
(a) Paying does not mean we have accepted. Your payment is an offer to buy the Package. We may accept or decline any Advertising Order for any reason or no reason, in our sole discretion, and we do not have to explain.
(b) We accept an Advertising Order only by airing its first Placement or by telling you in writing that it is accepted. A receipt, confirmation screen, or message saying we received your payment, including words like “you’re in,” is not acceptance.
(c) If we decline, we will refund your payment in full. That refund is your only remedy.
(d) We may also cancel an accepted Advertising Order at any time before all of its Placements have aired, for example if we learn something new about you or the Promoted Offering. If we cancel, your only remedy is the refund in Section 22.9 for the Placements that did not air.
(e) We may rely on what you typed at checkout. If you have more to tell us, including anything Section 22.8 requires, email it to staff@reinvestone.com within forty-eight (48) hours after you pay. We do not have to wait for it, ask for it, or use it. If we ask you for more information and you do not answer promptly, we may go ahead with what we have or decline the Advertising Order. None of this moves Day 1.
22.5 What You Get
(a) Package. As of the date of these Terms, the base package is two (2) livestream Placements and two (2) long-form video Placements, and the upgraded package is five (5) livestream Placements and five (5) long-form video Placements in total. Each Placement appears in a different livestream or video. Nothing more is promised.
(b) Supporting elements. We generally also show your brand in an on-screen banner during the Placement, in a pinned comment, and near the top of the video description. We choose the format and wording, and we may shorten, move, replace, or remove a supporting element at any time. A missing, late, or changed supporting element is not a failure to air a Placement. Your only remedy for it is the Make-Good in Section 22.10.
(c) Timing. We aim to air your Placements during the Air Window. We choose the dates, the times, the order, and which livestreams and videos carry them. Time is not of the essence. If a Placement has not aired by its Outside Date, Section 22.9 applies and is your only remedy.
(d) When a Placement counts. A Placement is delivered (“aired”) the moment a livestream or long-form video containing a spoken paid promotion segment that names you or the Promoted Offering is broadcast or published publicly on the Channel. A segment that substantially fits that description counts, even if it is imperfect. Once delivered, it stays delivered even if the livestream or video is later edited, trimmed, restricted, demonetized, made private, removed, or taken down, by us or by any platform, and even if the Channel is later suspended or closed. We have no duty to keep any livestream or video online for any length of time.
(e) Replays. A replay or archive of a livestream is part of that livestream. It is not a separate long-form video Placement, and we are not required to keep it available.
(f) No exclusivity. You get no exclusivity of any kind. Other advertisers, including your direct competitors, may appear in the same livestream or video, and before or after your Placement.
(g) Extras. Any mention, link, or exposure beyond your Package is a courtesy. It creates no obligation to do it again and no right to anything more.
(h) Our records. Our records of what aired, when, and where are presumed correct unless you prove otherwise with clear evidence.
22.6 Kevin’s Way: No Script, No Approval, No Edits
(a) YOU DO NOT WRITE, REVIEW, APPROVE, OR EDIT ANY PLACEMENT, BEFORE OR AFTER IT AIRS. Advertiser Materials are suggestions only. We decide, in our sole discretion, the wording, length, tone, timing, position within the livestream or video, visuals, links, and what is included or left out.
(b) Honest opinions. Kevin speaks in his own words and gives his honest opinions. A Placement may include opinions, comparisons, jokes, questions, criticism, risks, downsides, and disclosures that you did not ask for and may not like. Kevin will not make a claim that he does not believe or that we think is unsupported, even if you ask him to. None of this is a breach of these Terms.
(c) Paid promotion disclosure. Every Placement will be identified as paid or sponsored in whatever way we decide the law or platform rules require. You may not ask us to hide, soften, or leave out that disclosure. If you give us a disclaimer or disclosure under Section 22.8(e), then unless we believe the law does not require it to be shown, we will either include it, in the form and place we choose (such as on screen or in the description), or cancel each affected Placement and refund that Placement under Section 22.9. This is the only exception to Sections 22.4(e) and 22.6(a). Whether a disclaimer or disclosure you give us satisfies the law remains your responsibility. If we miss it or show it imperfectly, that is a mistake under Section 22.6(d).
(d) Mistakes. Live, unscripted content will contain mistakes. Examples: a wrong price, name, link, code, feature, or date; a missed talking point; a mispronunciation. A mistake is not a breach. Your only remedy for a mistake is the Make-Good in Section 22.10.
(e) No testing or vouching. We do not test, verify, audit, or guarantee the Promoted Offering. A Placement is advertising. It is not professional advice to anyone, and it is not a warranty, certification, or guarantee by any Protected Party.
(f) Regulated advertisers. If any law, regulator, license, or internal policy requires your advertising to be pre-approved, scripted, reviewed, or filed before it is published, do not buy an Advertising Order. By buying, you represent that you may lawfully purchase unscripted promotion that you will not see before it airs, and you accept sole responsibility for every legal and regulatory consequence to you of each Placement.
(g) Corrections. We may correct, clarify, update, or retract anything in a Placement at any time, on air or in writing, and we may tell our audience about a problem with you or the Promoted Offering. That is not a breach, and it does not undo delivery of the Placement.
22.7 What We Do Not Promote
(a) We do not accept Advertising Orders to promote: (i) stocks, tickers, or any other security; (ii) crypto tokens or coins; (iii) another company’s capital raise, securities offering, or fundraising; (iv) trading signals, stock-picking services, or trade-alert services; (v) anything unlawful, deceptive, or unsafe; or (vi) anything that we decide, in our sole discretion, we would not want our own audience buying.
(b) You represent and warrant that the Promoted Offering is none of these, and that no part of your payment is, directly or indirectly, compensation from an issuer, underwriter, dealer, or promoter to publicize any security or token.
(c) If we learn at any time that this Section 22.7 applies, we may cancel the Advertising Order, remove any Placement, and keep the fees for Placements that already aired.
22.8 Your Promises
You represent, warrant, and agree that each of the following is true on Day 1 and each time a Placement airs. Your promises in (b), (c), and (d) continue for as long as any Placement stays online.
(a) Truth. Everything in the Advertiser Materials is true, accurate, current, complete, and not misleading. You hold written proof for every factual and performance claim before you give it to us, and you will send us that proof promptly if we ask.
(b) Legal. You, the Promoted Offering, the Advertiser Materials, your website, and your sales, billing, and marketing practices comply with all applicable laws and rules, including advertising, consumer protection, privacy, data security, email, text, and telemarketing laws, and any rules specific to your industry.
(c) Licenses. You hold every license, registration, permit, and approval needed to offer the Promoted Offering everywhere you offer it. You understand that Placements can be seen worldwide.
(d) Rights. You own or control all rights in the Advertiser Materials. Our use of them will not infringe or violate anyone’s copyright, trademark, publicity, privacy, or other rights.
(e) Required disclosures. You have given us, at checkout or by email under Section 22.4(e), every disclaimer and disclosure that the law requires when the Promoted Offering is advertised. If you left one out, that is your responsibility alone.
(f) Honoring the offer. You will honor every price, discount, code, bonus, and term you asked us to promote, for everyone who responds, through the end date you gave us. If you gave us no end date, you will honor it for at least thirty (30) days after your last Placement airs. Your links work and are safe.
(g) No hidden trouble. Neither you nor the Promoted Offering is the subject of any pending or threatened government investigation, enforcement action, or class action that you have not disclosed to us in writing. You are not on any government sanctions list.
(h) Agencies. You have told us, at checkout or by email under Section 22.4(e), if any agency, talent network, or sponsorship marketplace has introduced or pitched your brand to us or to the Channel.
(i) Ability to pay. You have, and will keep, insurance or other resources sufficient to meet your obligations under Section 22.14.
(j) Changes. You will email staff@reinvestone.com immediately if any of these promises stops being true, or if anything we were told about the Promoted Offering changes.
22.9 Refunds: 100% Placement Guarantee
(a) If we air nothing. If we decline your Advertising Order, or we air none of its Placements, we will refund your payment in full.
(b) If we air some but not all. For each Placement in your Package that has not aired by its Outside Date, or that we cancel, we will refund a pro rata share: the total you paid for the Advertising Order divided by the total number of Placements in your Package. For example, that is $1,250 per Placement on a $5,000 Package of four Placements, and $1,000 per Placement on a $10,000 Package of ten Placements. If you agree by email, we may air a late Placement after its Outside Date instead of refunding it.
(c) Everything else is final. EXCEPT AS STATED IN SECTIONS 22.9(a) AND 22.9(b), ALL ADVERTISING FEES ARE EARNED AS EACH PLACEMENT AIRS AND ARE FINAL AND NON-REFUNDABLE. There is no refund, credit, or discount because you are unhappy, because of a mistake, because of timing, because of low views, clicks, or sales, because of market or news events, or because you changed your mind.
(d) No cancellation by you. You may not cancel an Advertising Order after you pay. If we agree to a cancellation you ask for, it is on the terms we state in writing at that time.
(e) Your breach; setoff. If we cancel because you breached these Terms or gave us false or incomplete information, we may deduct from any refund the losses and costs your breach caused us. We may also set off anything you owe any Protected Party against any refund.
(f) How refunds are paid. Refunds are based on the total you paid at checkout, with no deduction for our payment processing fees. They go to your original payment method through our payment processor. We aim to start a refund within ten (10) business days after it becomes due. After that, timing depends on your bank or payment provider. We are not responsible for interest, financing charges, lender fees, currency conversion, or network fees. If you paid with financing or a pay-later service, your loan is between you and your lender, and it does not change what you owe us or what we owe you.
22.10 One Make-Good Settles Everything
(a) IF YOU ARE UNHAPPY WITH AN ADVERTISING ORDER FOR ANY REASON, YOUR SOLE AND EXCLUSIVE REMEDY IS ONE (1) MAKE-GOOD. A “Make-Good” is one additional Placement, in one livestream or one long-form video that we choose, produced our way under Section 22.6. “Any reason” includes a mistake, an omission, something Kevin said or did not say, a supporting element, timing, results, or a Placement you believe should not count. The only exception is a refund owed under Section 22.9 for a Placement that never aired, which is handled only under Section 22.9.
(b) One per Advertising Order. You get one Make-Good per Advertising Order in total. Not one per Placement. Not one per complaint. There is no Make-Good for a Make-Good.
(c) How to ask. Email staff@reinvestone.com within fourteen (14) days after your Advertising Order is Closed and tell us what you are unhappy about. If you do not ask in that time, you have accepted every Placement as delivered, and you have waived the Make-Good and every claim it would have settled.
(d) Our timing and our option. We will air the Make-Good within thirty (30) days after your timely request. Instead of airing it, we may choose at any time to refund the pro rata fee for one Placement, calculated under Section 22.9(b). If we do neither within those thirty (30) days, your only remedy is that one-Placement refund.
(e) Full and final. WHEN THE MAKE-GOOD AIRS, OR WE PAY THE REFUND IN SECTION 22.10(d), EVERY CLAIM YOU HAVE OR COULD HAVE ABOUT THE ADVERTISING ORDER IS FULLY AND FINALLY SATISFIED, SETTLED, AND RELEASED. You agree that this is an accord and satisfaction of all such claims. It does not cancel a refund still owed under Section 22.9 or any right the law does not allow you to give up.
(f) Only remedies. The Make-Good and the refunds in Section 22.9 are the only remedies you have for anything relating to an Advertising Order. They replace every other remedy available at law or in equity. You waive any right to an injunction, a takedown, specific performance, or any other order that would stop, remove, or change any livestream or video.
22.11 No Guarantees
(a) WE PROMISE TO AIR YOUR PLACEMENTS OR REFUND YOU UNDER SECTION 22.9. WE PROMISE NOTHING ELSE.
(b) We do not guarantee, and no Protected Party has promised, any of the following: views, impressions, reach, watch time, audience size, audience makeup or location, clicks, traffic, leads, sign-ups, sales, revenue, or return on your spend; that viewers or commenters will react well; that a Placement will stay online; that the Channel will stay active; or that YouTube or any other platform will distribute, recommend, monetize, or keep up any livestream or video.
(c) Any audience numbers, past results, examples, screenshots, or estimates you have seen or heard from us are history only. They are not promises or projections. You are not relying on any statement that is not written in these Terms.
(d) We are not responsible for viewer comments, live chat, clips, reaction content, or anything else third parties say or do about you.
(e) In addition to Section 12, the Placements and everything else we provide under an Advertising Order are provided “AS IS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
22.12 Release, Waiver, and Hold Harmless
(a) Assumption of risk. You understand that you are buying unscripted promotion with no right of approval, delivered live to a large public audience. You knowingly and voluntarily accept every risk that comes with that, including the risk that a Placement helps you less than you hoped or hurts you.
(b) Release. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU, FOR YOURSELF AND FOR YOUR OWNERS, AFFILIATES, SUCCESSORS, AND ASSIGNS, RELEASE, WAIVE, AND FOREVER DISCHARGE EACH PROTECTED PARTY FROM, AND AGREE TO HOLD EACH PROTECTED PARTY HARMLESS AGAINST, EVERY CLAIM, DEMAND, DAMAGE, LOSS, AND LIABILITY OF ANY KIND, KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO AN ADVERTISING ORDER, A PLACEMENT, THE PROMOTED OFFERING, OR THE ADVERTISER MATERIALS, INCLUDING CLAIMS ARISING FROM THE NEGLIGENCE OF ANY PROTECTED PARTY.
(c) What is covered. This release covers, without limitation, claims based on: what was said or not said in a Placement; mistakes; Kevin’s opinions, commentary, comparisons, or criticism; lost sales, lost profits, or harm to your reputation or goodwill; viewer comments or conduct; the editing, removal, or unavailability of any livestream or video; and the acts of any platform. It covers every legal theory, including breach of contract, breach of warranty, negligence, negligent misrepresentation, defamation, trade libel, disparagement, false light, interference with business, unfair competition, and false advertising.
(d) What is not covered. The only things not released are your right to a refund under Section 22.9, your right to the Make-Good under Section 22.10, and any liability that the law does not allow to be released by contract.
(e) Unknown claims. You understand that you may later discover claims or facts you do not know about today. You release those too. You waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You also waive any similar law of any other state or country.
(f) Promise not to sue. To the fullest extent permitted by law, you will not bring, join, fund, or help anyone else bring any released claim against any Protected Party. Nothing in these Terms stops you from communicating with a government agency or complying with legal process.
(g) No personal liability. Your contract is only with House Hack, Inc. Kevin Paffrath, Lauren Paffrath, The Paffrath Organization, Inc., and every other individual or entity among the Protected Parties are not parties to your Advertising Order and owe you nothing. To the fullest extent permitted by law, you will not bring a claim relating to an Advertising Order against any of them.
22.13 Limits on Our Liability
(a) No indirect damages. NO PROTECTED PARTY WILL BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SALES, LOST BUSINESS, LOST OPPORTUNITY, WASTED AD SPEND, HARM TO REPUTATION OR GOODWILL, OR THE COST OF REPLACEMENT ADVERTISING.
(b) Cap. THE TOTAL LIABILITY OF ALL PROTECTED PARTIES, COMBINED, FOR EVERYTHING RELATING TO AN ADVERTISING ORDER WILL NOT EXCEED THE FEES YOU PAID FOR THE SPECIFIC PLACEMENT OR PLACEMENTS THE CLAIM IS ABOUT, AND WILL NEVER EXCEED THE TOTAL YOU PAID FOR THAT ADVERTISING ORDER, LESS ANY AMOUNT ALREADY REFUNDED. For Advertising Orders, this cap replaces the cap in Section 13.
(c) Fallback cap. If the cap in Section 22.13(b) is found unenforceable for any claim, the total liability of all Protected Parties for that claim will not exceed the total you paid for that Advertising Order. If that limit is also found unenforceable, liability is limited to the smallest amount the law allows.
(d) Reach. Sections 22.13(a) through 22.13(c) apply to every claim and every legal theory, even if a Protected Party was told the damage was possible, and even if a remedy in these Terms fails of its essential purpose.
(e) One-way. NOTHING IN THESE TERMS LIMITS YOUR LIABILITY TO ANY PROTECTED PARTY, including under Section 22.14.
(f) Basis of the deal. Our prices reflect this allocation of risk. We would not sell Advertising Orders at these prices without it.
(g) One year to bring a claim. Any claim you have relating to an Advertising Order must be filed within one (1) year after the Placement it concerns aired or, for a Placement that never aired, within one (1) year after its Outside Date. After that, the claim is permanently barred. The one-year period is paused, for no more than sixty (60) days, while the informal resolution required by Section 18.2 is under way. If a court or arbitrator finds one year too short for a claim, the deadline for that claim is the shortest period the law allows.
22.14 Indemnification: You Defend Us and You Pay
(a) Your duty. YOU WILL DEFEND, INDEMNIFY, AND HOLD HARMLESS EACH PROTECTED PARTY from and against every claim, demand, lawsuit, arbitration, investigation, inquiry, subpoena, and proceeding brought or threatened by anyone, including a customer, viewer, competitor, platform, or government agency (each, a “Claim”), and from all resulting losses, damages, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees and expert fees and, to the extent the law allows them to be indemnified, fines, penalties, and restitution (together, “Losses”), arising out of or relating to any of the following:
(1) you, your business, or the Promoted Offering, including its quality, safety, legality, performance, pricing, or failure, and any injury, death, property damage, or financial loss claimed by anyone who bought, used, or relied on it;
(2) the Advertiser Materials, and any statement in a Placement that repeats, summarizes, or is based on them;
(3) any claim that a Placement is false, misleading, unsubstantiated, or unlawful because of information you gave us or failed to give us;
(4) any actual or alleged breach of your promises in this Section 22;
(5) any actual or alleged violation of law by you or by the Promoted Offering;
(6) any claim that the Advertiser Materials infringe or violate anyone’s rights;
(7) your dealings with your own customers, leads, and users, including billing, refunds, non-delivery, data collection, data breaches, emails, texts, and calls;
(8) any chargeback, payment reversal, or financing dispute on your Advertising Order;
(9) your use of any livestream, video, or clip, or of the name, voice, image, or likeness of Kevin Paffrath or any other Protected Party; and
(10) the cost to any Protected Party of responding to a subpoena, civil investigative demand, or regulatory inquiry about you or the Promoted Offering, even if no Protected Party is accused of anything.
(b) Even if we are blamed. THIS SECTION 22.14 APPLIES EVEN IF A CLAIM ALLEGES OR PROVES THE NEGLIGENCE, ACTIVE OR PASSIVE, OF A PROTECTED PARTY, AND EVEN IF THE CLAIM IS GROUNDLESS, FALSE, OR FRAUDULENT. The only exception is the share of Losses that a court or arbitrator finally decides was caused by that Protected Party’s own fraud or willful misconduct, or that the law does not allow to be indemnified.
(c) Defense starts immediately. Your duty to defend begins the moment a Claim is made or threatened, before any finding of fault, and whether or not the Claim has merit. Each Protected Party may choose its own lawyers and control its own defense. You will pay those fees and costs as they come due, within thirty (30) days after each invoice. If a Protected Party asks, you will fund a reasonable retainer in advance.
(d) Settlements. You may not settle a Claim, admit fault, or agree to anything that binds a Protected Party without that Protected Party’s written consent. A Protected Party may settle a Claim on terms it considers reasonable, and you will pay the settlement.
(e) Direct losses too. This Section 22.14 also covers Losses a Protected Party suffers directly because of your breach, not only Claims by third parties. This Section 22.14 is not a prevailing-party attorneys’ fee clause for disputes between you and us. Section 18.7 governs those fees.
(f) No cap, no expiration. Your obligations under this Section 22.14 are not capped, are not limited by your insurance, are in addition to every other remedy we have, and survive the completion, cancellation, or refund of your Advertising Order.
(g) While a Claim is open. If a Claim is made or threatened, we may pause, edit, or remove any Placement, cancel any unaired Placement, and hold any refund until the Claim is resolved. You will cooperate fully, including by giving us the documents and witnesses we reasonably ask for.
(h) Notice. A delay or failure by a Protected Party to tell you about a Claim does not reduce your obligations, except to the extent you prove the delay materially harmed your defense.
22.15 Content, Licenses, and Use of Our Name
(a) Your license to us. You grant the Protected Parties a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable license to use, reproduce, display, perform, adapt, and publish the Advertiser Materials and your names, logos, and trademarks in the Placements and in every livestream, video, replay, clip, short, podcast, thumbnail, title, description, and archive that contains them, in any media, forever.
(b) No takedowns. We have no duty to you to remove, edit, blur, or update anything after it airs, even if you ask, end your offer, change your brand, or go out of business. We may do so whenever we choose, including to correct something or to follow the law or platform rules.
(c) Our content. As between you and the Protected Parties, the Protected Parties own every livestream, video, and Placement. You get no ownership and no license. You may share a link to the full, unedited public livestream or video.
(d) What you may not do. Without our prior written consent, you may not: (i) download, clip, edit, or re-upload any livestream or video; (ii) run any of it as a paid ad, boosted post, or whitelisted content; (iii) use the name, voice, image, or likeness of Kevin Paffrath, or the Meet Kevin, Reinvest, or HouseHack names or logos, in your own marketing; or (iv) say or suggest that any Protected Party endorses, recommends, uses, partners with, invests in, or vouches for you. You may say, accurately, that you bought a paid promotion on the Channel.
(e) Unauthorized use fee. If you break Section 22.15(d), you will pay us a license fee equal to the total price of your Advertising Order for each calendar month, or part of a month, in which the unauthorized use occurs. You agree that the harm from unauthorized use of Kevin’s name, likeness, and content is hard to measure, that this fee is a reasonable estimate of the value of that use, and that it is not a penalty. This fee is in addition to our right to stop the use.
(f) Disclosure. We may identify you as a paid advertiser, and we may disclose your Advertising Order to regulators, platforms, auditors, and anyone else the law requires.
22.16 Chargebacks and Payment Disputes
(a) Email first. Section 15 applies. Before you contact your bank, card issuer, lender, or payment provider about an Advertising Order, you will email staff@reinvestone.com and give us a fair chance to respond.
(b) No chargebacks on aired Placements. You will not dispute, reverse, or charge back any payment for a Placement that aired on the ground that it was not delivered, was not as described, or did not perform. Doing so is a material breach of these Terms. This does not apply to a charge you did not authorize or to a duplicate charge, which you will report to us first under Section 22.16(a).
(c) If you do it anyway. You will owe us the disputed amount, every dispute fee our payment processor charges us, and interest at the legal rate.
(d) Evidence. You authorize us to give your bank, card issuer, lender, and payment processor these Terms, your checkout record, your acceptance of these Terms, our messages with you, and the link, date, and timestamp of each Placement. You agree that this record proves the Placements were delivered as agreed.
(e) Other consequences. We may also remove your Placements, cancel anything unaired, and decline future orders from you.
(f) Saved payment details. Our payment processor may save your payment method when you check out. You authorize us to charge it for your Advertising Order, including a retry of a payment that was declined or that your bank returned unpaid, but not a payment you disputed, and to use it for any refund. We will not charge it for anything else unless you place another order or approve the charge by email. For Advertising Orders, this Section 22.16(f) applies instead of Section 10.6, and the sentence in Section 22.1(d) about added protection does not change that.
22.17 Things Outside Our Control
We may delay or cancel any Placement, with no liability beyond the refund in Section 22.9 for Placements that do not air, if airing it is prevented, delayed, or made unwise by: Kevin’s illness, injury, death, travel, emergency, or unavailability; breaking news or market events; a platform outage, strike, restriction, demonetization, suspension, or termination; a legal or regulatory concern; a technical failure; or anything else beyond our reasonable control. Sections 20.5 and 21.5 also apply.
22.18 Editorial Independence; No Other Relationship
(a) Buying advertising buys a Placement. It buys no influence over anything else we say or publish, including our market commentary, the Alpha Report, trade alerts, courses, and other videos, before, during, or after your Advertising Order. We may say anything about you, your industry, or your competitors in that other content, and nothing we say there is a breach of these Terms.
(b) You and we are independent businesses. An Advertising Order creates no partnership, joint venture, agency, or exclusive relationship.
(c) An Advertising Order is not an investment in House Hack, Inc., gives you no equity or securities rights, and has no connection to any offering of our securities.
22.19 Disputes and General Terms for Advertising Orders
(a) Disputes. Section 18 applies to every dispute relating to an Advertising Order, including binding individual arbitration, the class action waiver, the jury trial waiver, California law, and Ventura County, California. Advertising Orders are business transactions, not consumer transactions. Each Protected Party may enforce Section 18. If you bring a dispute relating to an Advertising Order in court for any reason, you must bring it only in the state or federal courts located in Ventura County, California.
(b) Protected Parties can enforce this Section. Each Protected Party is an intended third-party beneficiary of this Section 22 and may enforce it directly. This is an express exception to Section 20.6.
(c) Whole agreement. For an Advertising Order, these Terms and the Package and price shown at checkout are the entire agreement. Nothing said in an email, direct message, call, livestream, or video changes these Terms, except where this Section 22 says that email is enough. Any other change requires a written amendment signed by an officer of House Hack, Inc.
(d) No transfer. You may not assign, resell, or transfer an Advertising Order or any Placement. We may assign ours.
(e) Survival. This Section 22 survives the completion, cancellation, or refund of an Advertising Order.
(f) Stacked protections. The protections in this Section 22 are stacked on purpose. They include: our right to decline or cancel; the definition of a delivered Placement; the exclusive remedies; the release; the exclusion of indirect damages; the cap and the fallback cap; the one-year deadline; your indemnity; and the arbitration agreement and waivers in Section 18. Each one applies by itself, even if another is limited or struck. A court or arbitrator must enforce each one to the greatest extent the law allows, and must narrow a provision instead of striking it.
(g) Legal limits. Nothing in this Section 22 releases, limits, or requires indemnity for any liability to the extent the law does not allow it. Where the law sets a limit, the provision applies up to that limit and no further.
(h) Our remedies. Our rights and remedies are cumulative. A breach of Section 22.15(d) would cause harm that money cannot fix, and we may seek an injunction without posting a bond, as allowed by Section 18.11.
(i) No waiver. If we give you something we did not owe, such as an extra mention, a second Make-Good, or a refund, it is a courtesy. It waives nothing and creates no right to it again.
22.20 You Read This and Chose It
(a) Your signature. Checking the box, completing the agreement field at checkout, and paying are each your signature under Section 1.3.
(b) Informed choice. You are a business. You read this Section 22, you understand it, and you had the chance to have a lawyer or any other advisor review it before you paid.
(c) Not your only option. This self-serve package is optional and is one of many ways to advertise. If you want different terms, do not buy it. You may email staff@reinvestone.com to ask about a separately negotiated agreement, which we may or may not offer and which may cost more.
(d) Fair deal. You agree that the price reflects the risk you are taking on, that these Terms are fair and reasonable for a business purchase of unscripted promotion, and that you are not relying on anything outside these Terms.
(e) No construction against us. These Terms will not be interpreted against us because we wrote them.
BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
